     5        sounds like a statement, the tone of voice was that
     6        Mr. Morris is asking whether that was so.
     7        A.  I have stated exactly, to the best of my recollection,
     8        what took place.  I think my Lordship can reach his
     9        conclusions from what the facts are.

    11   MR. MORRIS:  What disciplinary action did you take against the
    12        manager?
    13        A.  It was not a manager.

    15   Q.   Sorry, the joint venture partner?
    16        A.  There was no need to take -- I took no action.  There
    17        was no need to take action.  When I got there and I sat
    18        down with him and we had our discussion, he agreed and we
    19        moved on.

    21   Q.   When you have a joint venture partner, do you take a
    22        percentage of the profits or a percentage of the sales, or
    23        what; how does it work?
    24        A.  The joint venture has whatever profits enure to the
    25        joint venture and we are entitled to a percentage of
    26        whatever that percentage is in the joint venture.

    28   Q.   Is that the same with licensees?
    29        A.  No.  Licensees -- whatever profit enures goes to the
    30        licensee.

    32   Q.   The licensees, what do they pay, then, to the McDonald's
    33        Corporation?
    34        A.  It depends upon who owns the building and who does not
    35        own the building; and they also pay a service fee of
    36        anywhere from three to four per cent.
