    10   Q.   The point being, Mr. Stein, that if you want to get rid of
    11        somebody you could always find some aspect of their
    12        performance or violation of policy or rule violation that
    13        would enable you to get rid of them?
    14        A.  Not true.  The words speak for themselves.  I think
    15        they are clear.  It is talking about only terminate
    16        someone -- I am using the words "just cause" but that is
    17        the essence of it, and here are the two reasons.  It is
    18        either a performance issue or they violated some rule.
    19        Those are the two reasons because, frankly, in the economic
    20        area we do not have lay-offs at McDonald's.

    22   Q.   Did you ask Towers & Perrin whether they had a copy, did
    23        you or a representative of McDonald's or your solicitors
    24        ask Towers & Perrin if they had a copy of the report they
    25        prepared in 1990 about Philadelphia?
    26        A.  I did not handle the Towers & Perrin matter to get the
    27        materials.  I stayed clear of it and allowed Mr. Rampton to
    28        provide the necessary direction.  I did not want to be
    29        accused of having anything to do with that.

    31   Q.   Presumably you spoke to Mr. Rampton.  Did a copy ----

    33   MR. RAMPTON:  No, my Lord, he did not speak to me.  I dealt with
    34        the matter through Mr. Brown who sits here in front of me
    35        in court and who is a Vice President of the Corporation who
    36        works with Mr. Stein.  Mr. Brown spoke to Towers & Perrin.

    50        Puerto Rico that after you arrived you were followed 
    51        several times? 
    52        A.  Yes, I am not sure I was followed.  I remember one very 
    53        specific occasion, there may have been some other times,
    54        but I vividly remember one occasion that it became very
    55        dangerous for me.
